Terms of Service

The rules for using Orbular and the rights that apply when you use the service.

1. Agreement and the service

These Terms are an agreement between you and Aditya Tendulkar, a sole trader based in New Zealand and the operator of Orbular ("Orbular", "we", "us" or "our"). They apply to the Orbular website, application, workspaces, trackers, documents, integrations and related services (together, the "Service").

By creating an account, accepting an invitation, purchasing a subscription or using the Service, you agree to these Terms. Our Privacy Policy explains how personal information is handled. If you use Orbular for an organisation, you confirm that you have authority to accept these Terms for it. If you do not agree, do not create an account or use the Service.

You must be legally able to enter this agreement. If you are using a workspace on someone else's behalf, these Terms also apply to your use and the workspace owner is responsible for making sure its members follow them.

2. Accounts and security

Orbular uses Google authentication. You must provide information that is accurate enough for the Service to work, keep your sign-in method secure, and promptly tell us if you believe your account or a workspace invitation has been used without permission. You are responsible for activity carried out through your account, except to the extent that applicable law says otherwise or the activity resulted from our failure to take reasonable care.

Do not share sign-in credentials, use another person's account, or accept an invitation unless you are authorised to join that workspace. You are responsible for having the rights and permissions needed to upload, share, connect or otherwise use content and third-party accounts through the Service.

3. Workspaces, permissions and shared content

Workspaces can contain trackers, records, documents, attachments, invitations and connected integrations. Workspace owners manage membership and billing. Members have an owner, editor or viewer role, and the effective permissions of a role can depend on the workspace plan. Owners and editors may be able to create or change shared content; viewers may have read-only access. Check the workspace role and sharing settings before adding or relying on shared information.

Content shared in a workspace may be visible to other members and may be changed, moved or removed by someone with the relevant workspace permission. We do not decide which members should have access to your workspace or guarantee that another member will use shared content as you expect. Workspace owners are responsible for the invitations and permissions they control.

If you use an authorised external client through Orbular's MCP access, that client can read or, where enabled and permitted, change workspace data. Its access remains subject to the workspace, role, plan and token permissions in effect at the time of each request.

4. Your content and our limited licence

You retain your rights in content you submit to Orbular, including records, documents, attachments, prompts and other material, subject to rights belonging to other people or organisations. Content in a shared workspace may also be subject to the workspace owner's permissions and the rights of other contributors. You must not submit content that you do not have the right to use or share.

You give us a non-exclusive, worldwide, royalty-free licence to host, store, reproduce, format, adapt, transmit and display your content only as reasonably needed to operate, secure and maintain the Service, provide features you request, and carry out your instructions. This includes making content available to workspace members and to integrations that you connect or ask Orbular to use. This licence does not transfer ownership of your content and ends when the relevant use ends, subject to copies that we may need to retain for legal, security, backup or legitimate operational reasons as described in the Privacy Policy.

You are responsible for reviewing and keeping copies of important content. Orbular provides export features for certain tracker and workflow data where they are available in the Service, including JSON workflow export. This is not a promise of a complete account-wide export in every format or for every integration.

5. Acceptable use

You must use the Service lawfully and in a way that does not harm other people, Orbular or the providers on which the Service depends. You must not:

  • break the law, infringe another person's rights, or use the Service to deceive, harass, threaten or harm someone;
  • upload malware or attempt to probe, bypass or disable authentication, permissions, rate limits or security controls;
  • scrape, copy, resell, frame or systematically access the Service except through the interfaces and permissions we make available;
  • use automation or integrations to send content, create events or perform other actions without the authority and consent required for those actions; or
  • use the Service to make a high-impact decision about a person without appropriate human review and any consent, notice or other legal basis required by law.

You must not use AI output, calendar information, reminders or shared records as a substitute for professional, legal, medical, financial or other appropriate advice. You remain responsible for checking that your use of the Service and its outputs is suitable and lawful.

6. AI, automation and actions

Orbular's AI features can produce suggestions, summaries, tracker designs, workflow proposals and tool results. AI output can be incomplete, inaccurate, out of date or unsuitable for your circumstances. Review it before relying on it, sharing it or using it to make a decision. We do not guarantee that AI output is unique, correct or fit for a particular purpose.

Some features take an action rather than only provide text. Calendar requests can create an event immediately in the selected writable Google Calendar, without a separate confirmation step. Telegram can create or update checklists and deliver scheduled messages, and authorised MCP clients can change workspace data. By using these features, you instruct Orbular to perform the relevant action. Check the destination, permissions, details, timing and result, and avoid ambiguous requests. This does not remove our responsibilities under applicable law.

Do not connect a calendar, Telegram account or other integration unless you are authorised to do so and are comfortable with the data and actions that may be shared with it. Disconnecting an integration can stop future access or delivery, but may not undo events, messages, copies, records or conversation history already created by the integration or its provider.

7. Plans, subscriptions and payment

Launchpad is currently free. Voyager and Mothership are paid plans with recurring monthly or yearly subscriptions, as selected. The currency, price, included limits and billing interval displayed before you confirm payment apply to that purchase. Check those details before subscribing.

The workspace owner is responsible for choosing a plan and authorising payment. Payments and billing management are handled through the payment provider shown in the checkout or billing portal. A paid subscription does not grant access until payment and the subscription are successfully confirmed. If a payment fails or a subscription ends, the workspace may return to the applicable free-plan limits, while existing data is not automatically treated as deleted.

You can manage an active paid subscription through the billing portal linked from workspace billing settings. A cancellation generally takes effect at the end of the current paid period shown there, unless the payment provider or applicable law requires a different result. We do not promise a refund for unused time or a partial period, but this does not limit any refund, cancellation or other remedy that the law gives you or that we expressly agree to provide.

8. Changes to plans and the Service

We may improve, replace or discontinue parts of the Service, and we may change plans, limits or prices. For a material adverse change to a paid plan, we will aim to give reasonable advance notice and, where practical, an opportunity to cancel before the change applies to a future billing period. Changes may take effect sooner where reasonably necessary for security, legal compliance, abuse prevention or the safety of the Service.

We may publish updated Terms on this page. The effective date will identify the current version. If a change materially affects your rights or obligations, we will take reasonable steps to draw it to your attention where practical. Continued use after the updated Terms take effect means you accept them. If you do not accept a change, stop using the Service and contact us about closing your account or subscription.

9. Availability and third-party services

We work to keep Orbular available, but the Service may be unavailable or degraded because of maintenance, updates, security incidents, connectivity, provider outages or events outside our reasonable control. We do not promise uninterrupted, error-free or permanently available access, and you should keep appropriate copies of important information.

Google, Stripe, Telegram, Resend, OpenRouter, hosting providers and other third parties operate independently of us. Their terms, privacy notices, availability, limits and data-handling practices may apply when you use an integration or payment feature. We are not responsible for a third party's acts or omissions, but nothing in these Terms removes rights you may have against that provider or under applicable law.

10. Suspension, termination and data access

You may stop using Orbular at any time. We may suspend or restrict access where reasonably necessary to protect the Service or another person, respond to a security or legal issue, address serious or repeated misuse, or deal with an unpaid subscription. Where practical, we will give notice and a chance to resolve the issue. The response will be proportionate to the risk, and we will not suspend or terminate arbitrarily.

We may end a Service or account where it is no longer reasonably practical to provide it, subject to any notice or remedy required by law. Ending access does not transfer ownership of your content to us or give us a right to confiscate it. Workspace data may remain available to the workspace owner or other authorised members. If you need help accessing or exporting content, contact us promptly at hello@adityatendulkar.com. We do not promise a fixed deletion period or a complete account deletion self-service process.

11. Consumer rights and liability

Nothing in these Terms excludes, restricts or modifies a right or remedy that cannot lawfully be excluded, restricted or modified. If you acquire Orbular services as a consumer, the Consumer Guarantees Act 1993 may give you guarantees and remedies, including guarantees about reasonable care and skill and fitness for purpose. The New Zealand Consumer Protection guidance on the Consumer Guarantees Act explains those rights. The Fair Trading Act 1986 also applies to misleading or deceptive conduct and representations. See the New Zealand Consumer Protection guidance on the Fair Trading Act.

Subject to those rights and any other liability that cannot legally be limited, we are not liable for indirect or consequential loss, loss of anticipated savings or opportunity, or loss caused by your failure to keep copies, review output, maintain permissions or check an automated action. We are also not liable for matters outside our reasonable control or for a third party's service. This section does not exclude liability for fraud, intentional wrongdoing or any other liability that the law does not permit us to exclude or limit.

We provide the Service for general use and do not warrant that it will meet every particular requirement, remain unchanged, or produce a particular result. Nothing here is intended to contract out of the Consumer Guarantees Act, Fair Trading Act, Privacy Act 2020 or other mandatory New Zealand protections.

12. Governing law and disputes

New Zealand law governs these Terms. The New Zealand courts have jurisdiction, subject to any right you have to bring a claim in another court or forum under applicable consumer or other mandatory law. We encourage you to contact us first so we can understand and try to resolve a complaint. We do not require arbitration or waive your right to take a claim to a court or an appropriate consumer or regulatory body.

13. Contact, complaints and updates

Contact Aditya Tendulkar about the Service, a complaint, account access, billing or these Terms at hello@adityatendulkar.com. Please include enough detail for us to identify the relevant account or workspace and understand what happened. Do not send passwords, access tokens or other sensitive credentials by email.

We may update these Terms to reflect changes to Orbular, the law or how we operate the Service. The current version and effective date will always be published on this page. Our handling of personal information is explained in the Privacy Policy, which forms part of the context for your use of the Service.
